Resolution of the Board of Directors of the Corporation for Public Broadcasting

Updated Ethics Code

Unanimously

WHEREAS,

The Board of Directors of the Corporation for Public Broadcasting desires to strengthen and update the current Code of Ethics for Directors and the Code of Ethics and Business Conduct for Employees; and

WHEREAS,

The Board wishes to reinforce its commitment to conduct the Corporation's business according to the highest standards of ethical conduct.

WHEREAS,

Management has recommended amendments to the Code of Ethics and Business Conduct for Employees in order to add clarity;

NOW, THEREFORE, BE IT RESOLVED,

The Board reaffirms the Code of Ethics for Directors and adopts management's recommended changes to the Code of Ethics and Business Conduct for Employees, as specified in the attached document.
