Roles and Responsibilities of the Board of Directors, Chair of the Board, and President in Directing the Affairs of the Corporation for Public Broadcasting
Unanimously
WHEREAS, The Corporation for Public Broadcasting, as the steward of the American people's investment in the public broadcasting system, is strongly committed to improving the governance and operation of the Corporation; and
WHEREAS, The Corporate Governance Committee, with the assistance of outside counsel, has developed the attached set of guidelines regarding the distinct roles and responsibilities of the Board of Directors, the Chair of the Board, and the President in directing the affairs of the Corporation for Public Broadcasting, and has presented these guidelines to the Board; and
WHEREAS, The Board has reviewed, discussed, and concurs with the understanding of the distinct roles and responsibilities of the Board of Directors, the Chair of the Board, and the President in overseeing and directing the affairs of the Corporation as set forth in the attached document.
NOW, THEREFORE, BE IT RESOLVED, That the Board of Directors hereby adopts the attached guidelines which will help ensure that the Corporation operates with the greatest efficiency, integrity, and dedication to mission.
