Resolution of the Board of Directors of the Corporation for Public Broadcasting
August 21, 1980

Electing Board Chairman and Vice-Chairman

Unanimously

WHEREAS,

The Board has previously disbanded the Nominating Committee; and

WHEREAS,

The Board is desirous of establishing an orderly process for nominating and electing the Chairman and Vice-chairman of the Board.

NOW, THEREFORE, BE IT RESOLVED THAT:

1. The election of Chairman shall precede the election of Vice-Chairman;

2. Any member of the Board may nominate any member of the Board to the position of Chairman or Vice-Chairman;

3. Upon nomination and second, the Board member shall have the right of declination;

4. The election of the Chairman and Vice-Chairman shall be by secret ballot which shall contain the name of all Board members;

5. Each member present shall vote for one nominee only;

6. The Chairman and Vice-Chairman must receive a majority vote of the members present at the Annual Meeting.
