Resolution of the Board of Directors of the Corporation for Public Broadcasting

Amendment to Ethics Guide

Unanimously

WHEREAS,

The Board of Directors of the Corporation for Public Broadcasting desires to strengthen the "Statement of Ethical Conduct for Directors, Officers, Employees, and Personal Services Contractors of the Corporation for Public Broadcasting," by adding to the Statement a regular procedure whereby, at each Board meeting where business is to be conducted, the CPB Board can identify and handle possible conflicts of interest on the part of Board members; and

WHEREAS,

By taking this action, the Board wishes to reinforce its commitment to conduct its business according to the highest standards of ethical conduct.

NOW,THEREFORE,BE IT RESOLVED THAT:

The Board adopts the language contained in new paragraph 10 of the "Statement of Ethical Conduct for Directors, Officers, Employees, and Personal Services Contractors of the Corporation for Public Broadcasting," which is attached hereto.
